Terms of Service

1. Acceptance

By downloading, installing, or using the Zovi mobile application ("App") operated by Circl Technologies LLC ("we," "us," "our"), you agree to these Terms of Service ("Terms"). If you disagree with any part of these Terms, do not use Zovi.

These Terms constitute a legally binding agreement between you and Circl Technologies LLC.

2. Eligibility

You must be at least 13 years old to use Zovi. Users between 13-17 must have parental or guardian consent. By using Zovi you confirm you meet these requirements.

We may verify eligibility and suspend accounts that do not meet these requirements.

3. Account Registration

You agree to:

• Provide accurate, current, and complete registration information
• Maintain and update your information
• Keep your password confidential
• Not share your account with others
• Create only one account per person
• Notify us immediately of unauthorized access at hello@thezovi.com

You are responsible for all activity under your account. Circl Technologies LLC is not liable for losses from unauthorized account access due to your failure to secure your credentials.

4. Acceptable Use

You may use Zovi only for lawful purposes. You agree NOT to:

Post prohibited content

• Illegal content of any kind
• Child sexual abuse material (CSAM) — zero tolerance, reported to NCMEC
• Nudity or sexual content
• Graphic violence or gore
• Content that promotes self-harm or suicide
• Harassment, bullying, or threats
• Hate speech targeting protected groups
• Spam or repetitive content
• Misinformation that could cause harm

Prohibited actions

• Impersonate any person or entity
• Create fake or misleading accounts
• Scrape, crawl, or data mine Zovi
• Reverse engineer or decompile the app
• Circumvent security measures
• Attempt to access other users' accounts
• Use automated bots or scripts
• Sell, transfer, or sublicense your account
• Use Zovi for commercial purposes without our written consent
• Violate any applicable laws or regulations

5. Content and Intellectual Property

Your content

You retain ownership of content you create and post on Zovi. By posting content you grant Circl Technologies LLC a non-exclusive, royalty-free, worldwide license to:

• Display your content on Zovi
• Distribute your content to your followers and group members
• Use your content to improve our services (never for advertising)

You represent that:

• You own or have rights to post the content
• Your content does not violate third-party rights
• Your content complies with these Terms

Our intellectual property

The Zovi application, including its name (ZOVI™, Trademark Serial #99885451), design, features, and technology (Patent Pending, Application #64/139,191) are owned by Circl Technologies LLC and protected by US and international intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

6. The Drop and Group Features

By joining a Zovi group you understand and consent that:

• Your engagement signals (likes, saves, views) are used to automatically build your group's daily Drop
• Your activity is attributed to you by default unless you use Ghost Mode
• Ghost Mode hides your identity for 24 hours then reveals it
• You can leave a group at any time from the group settings
• Group content is visible only to group members

7. Privacy

Your use of Zovi is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Payments and Subscriptions

Founding Member access

The $49 Founding Member fee grants lifetime Pro access to Zovi. This is a one-time payment and is non-refundable after 14 days.

Pro subscription

Monthly and annual subscriptions auto-renew unless cancelled. Cancel anytime in App Store settings. No refunds for partial periods.

Stripe processes all payments. We do not store payment card information.

9. DMCA and Copyright

We respect intellectual property rights. To report copyright infringement:

Include in your notice:

• Description of copyrighted work
• Location of infringing content on Zovi
• Your contact information
• Statement of good faith belief
• Statement of accuracy under penalty of perjury
• Your signature

We will process valid DMCA notices within 14 days.

10. Termination

We may suspend or terminate your account for:

• Violations of these Terms
• Illegal activity
• Abuse of other users
• Repeated copyright infringement
• At our discretion with notice

You may delete your account anytime in Settings → Account → Delete Account.

Upon termination: your right to use Zovi ends immediately. Content you posted may remain visible per our data retention policy.

11. Disclaimers

Zovi is provided "AS IS" without warranties of any kind, express or implied, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free service
• Accuracy of content posted by users

We do not endorse content posted by users and are not responsible for it.

12. Limitation of Liability

To the maximum extent permitted by law, Circl Technologies LLC and its officers, directors, employees, and agents shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits or revenue
• Loss of data
• Loss of goodwill
• Any damages exceeding $100 or the amount you paid us in the past 12 months (whichever is greater)

Some jurisdictions do not allow liability limitations — in those cases our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify and hold harmless Circl Technologies LLC from any claims, damages, losses, and expenses (including legal fees) arising from:

• Your use of Zovi
• Your content posted on Zovi
• Your violation of these Terms
• Your violation of any third-party rights

14. Dispute Resolution

Governing law

These Terms are governed by Texas law without regard to conflict of law rules.

Arbitration

Any dispute arising from these Terms shall be resolved by binding arbitration in Montgomery County, Texas under AAA Commercial Arbitration Rules, except either party may seek injunctive relief in court for intellectual property violations.

Class action waiver

You waive any right to bring claims as a class action or representative proceeding.

Small claims

Either party may bring claims in small claims court for disputes within that court's jurisdiction.

15. General Provisions

Entire agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Circl Technologies LLC.

Severability

If any provision is unenforceable, the remaining provisions remain in effect.

No waiver

Our failure to enforce any provision does not waive our right to enforce it later.

Assignment

You may not assign these Terms. We may assign them in connection with a merger or acquisition.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use constitutes acceptance.

17. SMS Communications and Phone Verification

By entering your phone number in the Zovi app and tapping "Send verification code," you expressly consent to receive one-time SMS verification codes from Circl Technologies LLC. This consent is voluntary — phone verification is optional and the app functions without it. Consent language is displayed in the app at the point of opt-in before any message is sent. You may withdraw consent at any time by replying STOP to any message.

Zovi SMS Messaging Terms

By providing your phone number and tapping "Send verification code" in the Zovi app, you expressly consent to receive one-time passcode (OTP) SMS messages from Circl Technologies LLC (Zovi).

Message types

One-time verification codes only. No marketing or promotional messages.

Message frequency

Only when you explicitly request a code by tapping "Send verification code." We will never send unsolicited messages.

Cost

Message and data rates may apply depending on your carrier plan.

Opt-out

Reply STOP to any Zovi message to immediately unsubscribe. You will receive one confirmation message then no further messages.

Opt-in

Reply START to resubscribe after opting out.

Help

Reply HELP to any message or email hello@thezovi.com for assistance.

Data

Your phone number is stored only as an irreversible cryptographic hash. We cannot recover your actual phone number. We never share phone numbers with third parties or use them for marketing.

Carriers

Zovi uses Twilio to deliver SMS messages. Carrier is not liable for delayed or undelivered messages.
